2. Service Agreement

All services are provided under a formal agreement that outlines specific deliverables, timelines, and payment terms. Any modifications to the agreed-upon services must be made in writing and agreed to by both parties.

3. Intellectual Property Rights

Upon full payment, clients receive ownership rights to the final deliverables. However, MYZELY retains ownership of:

• Proprietary tools and processes used in service delivery
• Pre-existing materials and templates
• Generic components that may be reused in other projects

4. Payment Terms

Our payment terms include:

• A deposit before work begins
• Milestone payments as outlined in the service agreement
• Final payment upon project completion
• Late payment fees may apply

5. Client Responsibilities

Clients are responsible for:

• Providing necessary content and materials in a timely manner
• Reviewing and providing feedback within agreed timeframes
• Ensuring they have rights to all provided materials
• Maintaining their own backups of any provided content

6. Limitation of Liability

MYZELY is not liable for:

• Third-party services or products integrated into our deliverables
• Consequential damages arising from service use
• Issues arising from client-provided materials or content
• Service interruptions beyond our control

7. Termination

Either party may terminate services with written notice as specified in the service agreement. Termination fees may apply. Upon termination:

• All outstanding payments become immediately due
• Access to incomplete work may be restricted
• Completed work will be delivered upon full payment

8. Modifications to Terms

MYZELY reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

9. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved in the courts of Uttar Pradesh, India.
